This Agreement is made between NEXORA AI SDN. BHD. (the “Platform” or “Party A”) and the registered user (the “User” or “Party B”).

Article 1 Definitions

The “Platform” means the computing relay and distribution platform operated by Party A and its grid, core and node terminals, website and services; “Models” means the AI models and interfaces made available for calling through approved suppliers or the upstream resource pool.

Article 2 Scope of Service and Account

The Platform provides model calling, a unified API gateway, multi-channel price comparison, model whitelist applications, official account applications, demand submission, order tracking and account management. The User acts solely as a consumer, submits purchase demands and calls Models, and does not accept orders in the community.

The User shall register with real identity and keep the account, password and keys safe; all operations under the account are deemed the User’s own acts. The account must be assigned to a site before Models can be called.

Article 3 Fees, Prepayment and Billing

The minimum prepayment is RM20 (or the standard published by the Platform from time to time). The prepaid balance may be used only for compliant computing consumption and is non-withdrawable and non-transferable.

Model calls are billed at the prices and units published by the Platform and deducted from the consumption quota or prepaid balance. Authorized sub-accounts default to a monthly quota of 500,000 tokens; any excess is purchased at the channel price.

The User shall ensure sufficient account balance; call failures caused by insufficient balance are borne by the User.

Article 4 Usage Rules and Content Safety

The User shall comply with the Platform’s content safety and prohibited-model rules and shall not use Models for illegal, infringing, sensitive activities or activities harmful to minors or the rights of others, nor abuse the service, inflate orders, submit false requests, evade throttling or reverse-engineer.

Party A may restrict, suspend or terminate services for offending accounts and handle related charges per the rules without further notice.

Article 5 Privacy and Data

Party A collects, uses and protects the User’s personal information and call logs in accordance with the Privacy Policy and does not disclose them to unauthorized third parties.

The User grants Party A the limited data-processing rights necessary to provide services, billing, risk control and audit.

Article 6 Disclaimer and Limitation of Liability

Model content is provided by suppliers or upstream providers; Party A does not warrant the accuracy or availability of third-party model content and does not guarantee uninterrupted service. To the extent permitted by applicable law, Party A is not liable for losses caused by force majeure, third-party supply interruption, maintenance or network failure.

Unless otherwise mandatorily required by law, Party A’s liability to the User is capped at the total fees actually paid by the User in the most recent twelve months, excluding indirect losses, loss of profit or loss of data.

Article 7 Intellectual Property

Intellectual property in the Platform software, interface, data, trademarks and the services themselves belongs to Party A; the User obtains only limited rights to use them within the scope of the service and may not copy, modify, distribute or sublicense them.

The User retains rights in its input content but grants Party A the necessary licence to process such content for service delivery.

Article 8 Amendment, Termination and Disputes

Party A may amend this Agreement from time to time and publish notice; continued use by the User constitutes acceptance. Where the User breaches this Agreement or Platform rules, Party A may terminate the service and handle balances and disputes per the rules.

This Agreement is governed by Malaysian law. Disputes shall be settled through negotiation; failing which, they shall be submitted to the competent court at Party A’s place of registration.

Article 9 Effectiveness

This Agreement takes effect when the User ticks consent and completes registration.
