This Agreement is made between the Platform (Party A) and the Institution (Party B).
Article 1 Definitions and Parties
“Institution” means a channel entity that subscribes to the Platform’s services, prepays for computing power, may become a supplier, operates a white-label relay and accepts orders in the community.
Party B shall submit true entity details and register under its real identity.
Article 2 Subscription Tiers
An Institution may choose from three subscription tiers: Starter (RM1,800 per month, 2 supplier seats, basic models only, no authorized sub-accounts); Standard (RM5,800 per month, 10 supplier seats, basic plus mid-tier models, 1 authorized sub-account); Flagship (RM14,800 per month, unlimited supplier seats, all approved models, unlimited authorized sub-accounts).
Subscription fees are recognized revenue of the Platform, charged per tier within the subscription period; active subscriptions follow the snapshot of the confirmed transaction amount.
Article 3 Prepayment and Service Fees
The Institution prepays for computing power according to its tier and business needs; the prepaid balance is restricted to compliant computing consumption and is non-withdrawable.
The Platform charges a tiered service fee on the Institution’s monthly turnover: 5% up to RM10,000, 4% from RM10,001 to RM50,000 and 3% above RM50,000 (high turnover is subject to reconciliation and approval).
The Institution may also supply models and receive a revenue share under the Supplier Agreement.
Article 4 Settlement and Withdrawal
The Institution’s income and service-fee share enter the income balance, are withdrawn after the approval process and are subject to a standard 2% fee; the withdrawal account must match the Institution’s registered account.
The Institution configures supplier seats and authorized sub-accounts according to its tier and maintains the white-label relay, supply sources, routing, throttling and brand under Platform rules; the Platform retains review and compliance requirements over site content.
Article 5 Community and Contract Verification
Orders accepted by the Institution in the community must be based on genuine purchase contracts and demands and are subject to manual verification by the admin side (community purchase contract v1, manual verification of approximately 2 working days). Accepted orders are tracked for consumption and settlement throughout; disputed orders are frozen from settlement until responsibility is determined.
Article 6 Breach, Confidentiality and Liability
Where the Institution is involved in fake turnover, order inflation, mismatched withdrawal accounts, unverified contracts or non-compliant operations, Party A shall apply the graded measures of the supplier breach and risk-control framework and deduct in the four-pool deduction order.
The Institution shall keep Party A’s trade secrets and customer data confidential and shall not engage in conduct damaging the Platform’s reputation.
Party A’s service liability towards the Institution is governed by the SLA and limitation-of-liability provisions.
Article 7 Governing Law and Disputes
This Agreement is governed by Malaysian law. Disputes shall be settled through negotiation; failing which, they shall be submitted to the competent court at Party A’s place of registration.
This Agreement takes effect upon signature by both parties and receipt of the first payment.
